Why they matter: They ensure you understand what we guarantee, what we don't, and what recourse you have if issues arise. This transparency helps build trust and prevents misunderstandings.

1. Liability Cap

What you need to know:

The maximum we'll pay if something goes wrong is limited to what you paid us (or $500 minimum).

  • Fixed projects: Total project fees
  • Subscriptions: Last 12 months of fees
  • Minimum: $500 USD

Translation: We can't be sued for millions if your website has a bug. Our maximum liability equals what you paid us.

2. Excluded Damages

What you need to know:

We're not liable for indirect business losses or consequences beyond our direct work.

  • Lost profits or revenue
  • Business interruption
  • Data loss (unless we fail to return it)
  • Reputation damage

Translation: If your site goes down and you lose sales, we'll fix the site but won't pay for lost revenue. Get insurance if this is a concern.

3. Intellectual Property

What you need to know:

After full payment, you own your custom work. We keep our tools and frameworks.

  • You own: Custom designs & deliverables
  • We own: Our tools, frameworks, methodologies
  • You get: License to use our pre-existing components in your project

Translation: The website is yours, but the development tools and code libraries we used remain ours. Think of it like building a house—you own the house, the builder keeps their tools.

4. Warranties & Guarantees

What you need to know:

We promise professional work, but we don't guarantee specific business results.

  • Professional quality work
  • Industry best practices
  • NO guarantee of sales/rankings
  • NO guarantee of 100% uptime

Translation: We'll build you a great website, but we can't promise you'll rank #1 on Google or make $1M in sales. Results depend on many factors beyond our control.

5. Your Responsibilities

What you need to know:

You protect us if issues arise from your content, data, or how you use our work.

  • You indemnify us for your content
  • You're responsible for your data rights
  • You must follow laws & regulations
  • You can't misuse our services

Translation: If you give us copyrighted content you don't own, or use the site illegally, you're responsible—not us. Provide only content you have rights to use.

6. Data & Security

What you need to know:

We take security seriously, but we can't guarantee 100% protection against all threats.

  • We use encryption (HTTPS/SSL)
  • Secure access controls
  • Regular security updates
  • GDPR & CCPA compliant

Translation: We implement strong security measures, but no system is 100% hack-proof. You should backup your data regularly as an extra precaution.

7. Termination & Refunds

What you need to know:

Either party can end the relationship, but payments for completed work are non-refundable.

  • You pay for work completed
  • We deliver finished work upon payment
  • Fees are generally non-refundable
  • Subscriptions: Cancel anytime

Translation: If you cancel mid-project, you still pay for the hours/work we've completed. For subscriptions, you can cancel anytime but won't get refunds for the current period.

8. Third-Party Services

What you need to know:

We're not responsible if external services (hosting, APIs, etc.) have issues.

  • NOT liable for AWS/hosting outages
  • NOT liable for API changes/shutdowns
  • NOT liable for third-party pricing
  • We'll help troubleshoot when we can

Translation: If Google Maps API goes down or your hosting provider has an outage, that's not our fault. We integrate with reliable services but can't control them.

9. Dispute Resolution

What you need to know:

If we disagree, we'll try to work it out. If not, we use arbitration (not court).

  • First: Good-faith negotiation (30 days)
  • Then: Binding arbitration
  • No class action lawsuits
  • 12-month limit to file claims

Translation: Disputes go to arbitration (faster/cheaper than court). You have 12 months to raise any issues. We can't be part of a class action lawsuit.

10. Time Limitations

You have a limited time window to raise legal claims about our work.

  • 12 Monthsto file claims
  • Clock starts when issue occurs
  • Report issues promptly
  • After 12 months: No claims allowed

Translation: If there's a problem with our work, you need to tell us within 12 months. After that, it's too late to make legal claims. Don't wait—report issues when they happen.

11. International Compliance

We comply with major privacy laws and respect regional consumer protections.

  • EU/UK: GDPR compliant
  • California: CCPA compliant
  • Australia: ACL protections apply
  • Canada & Asia: Applicable laws respected

Translation: Regardless of where you are, we follow your local consumer protection and privacy laws. Some of these terms may not apply if they conflict with your statutory rights.

12. Force Majeure

We're not liable for delays caused by events beyond our reasonable control.

  • Natural disasters, pandemics
  • Internet/infrastructure failures
  • Cyberattacks, government actions
  • Major third-party outages

Translation: If there's a hurricane, pandemic, or Amazon Web Services goes down globally, we're not liable for resulting delays. We'll communicate and work to minimize impact.
